The test consists of four elements: 1) an investment of money, 2) in a common enterprise, 3) with an expectation of profits, 4) solely from the efforts of others. If a digital currency meets these criteria, it may be considered a security and subject to regulation by the Securities and Exchange Commission (SEC). This test is relevant to digital currencies because many initial coin offerings (ICOs) and token sales have been subject to scrutiny by the SEC to determine if they fall under the definition of a security.
